1. Scope and responsible parties These terms cover AI Film Market film discovery, accounts, project applications, AIF purchases and project transactions. The website operator is 香港人工智能電影製片人協會, registered in Hong Kong. The AIF issuer and each project counterparty are identified separately in their offering documents. The operator does not automatically guarantee a project or its financial performance. References or links to HKAIIFF, INDEX, film festivals or external markets provide source information. They do not make those organizations the operator, issuer, guarantor, payment recipient or contractual counterparty of this platform. A separate written agreement is required for any such role. 2. Service availability and orders Availability is shown on each service and offering page. An expression of interest creates no purchase or project allocation. A binding order requires the applicable transaction terms and a recorded acceptance. Payment confirmation and asset delivery are separate recorded steps. Film subscriptions, revenue distributions and buybacks follow the specific project agreement, eligibility and published availability. AIF is issued on Solana. The current primary-sale price is 0.2 USDC or USDT per AIF; each lot contains 10,000 AIF and costs 2,000 USDC or USDT. The accepted order snapshot governs its price and supported payment network. 3. Eligibility and account security Account and financial participation are intended for people aged 18 or older who can enter the relevant agreement. Institutions must act through authorized representatives. Access may depend on location, verification, sanctions restrictions, investor classification and product-specific requirements. Technical access is not proof of eligibility. Provide accurate information and keep your email and devices secure. Do not share one-time codes or impersonate another person. We will not ask for wallet seed phrases or private keys. Report suspected unauthorized activity through the published support route. Do not submit identity documents or card credentials in general request forms. 4. Film records and project information Film metadata is sourced from the linked INDEX record, with the source and verification date shown where available. Inclusion does not establish ownership, commercial clearance, financial performance, token rights or an invitation to invest. Source labels and their scope must be preserved and cannot be reinterpreted as verified production or financial facts. Project teams are responsible for the accuracy of budgets, schedules, contributors, rights and financial information they supply. Corrections should identify the record, disputed statement and supporting material. The platform may pause publication while a material discrepancy is reviewed; no review guarantees ownership, completion or returns. 5. AIF and project rights are separate Acquiring or holding AIF does not by itself confer shares in the platform, ownership of a film, copyright, a claim on festival assets, voting rights, project allocations or revenue distributions. Each right must be expressly granted by the applicable issuer or project agreement. There is no guaranteed appreciation, liquidity, redemption or exchange listing. A film financing arrangement requires its own responsible project entity, rights documentation, budget and use of funds, milestones, participant rights, costs, revenue waterfall, reporting, termination and dispute terms. Copyright licensing belongs to a separate agreement and cannot be inferred from an AIF-denominated investment expression. 6. Order formation and disclosures A sale may open only after the relevant issuer, offering terms, eligibility, network and token contract are published and operating checks are complete. Before placing an order, review the asset, quantity, price currency, quote expiry, minimum and maximum, network fees, platform charges, recipient, delivery method and applicable cancellation rules. If a required item is absent, do not pay. A quotation or pending order is not evidence that payment has been received or tokens delivered. The accepted document version and order snapshot should be retained with the order. A transaction-specific agreement governs the economic rights expressly covered by it; it does not remove mandatory rights or excuse misleading information. 7. Payment verification and delivery Only use the recipient and supported asset/network shown on an active order in your account. Never pay a wallet, bank account or checkout link taken from an old site, a search advertisement, a direct message or an unverified email. A payment reference submitted by a user is a claim to be checked, not confirmation of payment. AIF orders accept the USDC or USDT contract and Solana or BNB Smart Chain network specified at checkout. Send the full order amount; sender network fees are separate. Screenshots support reconciliation, while the exact on-chain token transfer is verified independently. Following payment review, AIF is delivered to the Solana address fixed in that order. Changing your profile wallet does not change an existing order. 8. Cancellations, mistakes and refunds An unpaid order may be cancelled or expire under its published rules. This does not reverse an external transfer. Wrong-chain payments, unsupported assets, missing references, underpayments, overpayments, late payments and duplicate transfers require investigation; automatic credit or recovery cannot be assumed. Do not send a second payment solely to resolve a pending status. Before an offering opens, its agreement must state refundable events, deadlines, the calculation currency, permitted deductions, recipient verification and who bears transfer charges. Refunds require a verified entitlement and an auditable decision, normally to the verified original payment source where lawful and practicable. Blockchain finality does not remove contractual or statutory remedies. 9. Project, technology and market risks Film production can be delayed, changed or abandoned. AI outputs can involve disputed rights, licensing restrictions, likeness concerns and distribution limitations. Forecast revenue is uncertain and costs may exceed budgets. A project may generate no distributable income, and a participant may lose the full amount committed. Digital assets face volatility, limited liquidity, smart-contract faults, cyber incidents, wallet loss, network disruption and regulatory changes. AIF and project tokens may have different risks. Platform content is general information, not personalized investment, tax or legal advice; obtain advice suited to your circumstances where necessary. 10. Your submissions and intellectual property Submit only material you are entitled to provide. Identify relevant AI tools, source-material restrictions and project rights accurately. Submission does not transfer ownership to the platform. You permit the necessary storage, review and communication of the submitted material for the requested service; public publication or a broader commercial licence needs its own clear authorization. Do not upload third-party confidential contracts, personal documents, malicious code or unauthorized works. Report an intellectual-property complaint with the relevant URL, work, claimed right, authority to act and specific requested correction. The platform may restrict disputed material while reviewing the complaint and give affected parties an opportunity to respond where appropriate. 11. Acceptable use and service restrictions Do not manipulate prices or records, evade eligibility controls, impersonate partners, send spam, interfere with other users, exploit vulnerabilities or extract restricted information. Automated access must respect access restrictions and reasonable technical limits. Security research must avoid accessing other users’ data or disrupting service. Access may be restricted for credible security concerns, suspected misuse, required verification or legal obligations. Where lawful and practicable, the affected user should receive the reason and a review route. Restricting access does not automatically extinguish existing contractual rights or valid refund claims. 12. Service quality and responsibility Reasonable care should be taken to maintain accurate information and secure service, but continuous availability and third-party performance cannot be guaranteed. Maintenance, provider failure or network events may interrupt access. Preserve important agreements and receipts independently; do not rely on a cached page as a current quote or balance. Responsibility for losses depends on applicable law, the facts and the relevant agreement. Nothing here excludes liability that cannot lawfully be excluded, including applicable duties concerning fraud or misleading conduct. No blanket waiver of all user rights is intended. Any product-specific limitation must be clear before acceptance and legally enforceable. 13. Updates, complaints and applicable law This version is dated above. Material changes should be explained before new terms apply; renewed consent is required where applicable. Already accepted transaction rights cannot be silently rewritten by changing this page. Keep the version accepted with your transaction records. English and Traditional Chinese are provided; a discrepancy should be corrected rather than used to defeat mandatory protections. These website-use terms are governed by Hong Kong law, subject to mandatory user protections. Disputes about these terms may be brought before the Hong Kong courts, without preventing remedies guaranteed by mandatory law.
